Corporate & Business Lawyer — Legal Support from Company Formation to Corporate Disputes

L&L Consulting's lawyers provide legal support at every stage of business activity from company formation through day-to-day corporate governance and scaling, international relocation, and the resolution of corporate disputes. Our clients include Georgian businesses and entrepreneurs, as well as foreign investors who choose Georgia as their legal and operational base.

The long-term stability of a business depends largely on its initial legal structuring. A poorly chosen legal form, a template-based charter, or an ambiguous shareholders' agreement often becomes the source of financially damaging conflicts. Our objective is to help you prevent such risks and to ensure the legally sound organization of your business from day one.

Frequently Asked Questions

Which legal form is best for my business?

The choice depends on the type of activity, projected turnover, and number of partners. The LLC is the most common and flexible form in Georgia, while the Individual Entrepreneur (IE) status is often optimal for small businesses and remote professionals, thanks to the 1% preferential tax regime.

Is a Shareholders Agreement (SHA) necessary if we already have a charter?

In most cases, yes. The charter governs the general and public rules of the company, while a Shareholders Agreement is a confidential document that sets out detailed voting arrangements, restrictions on share transfers, non-compete obligations, and mechanisms for resolving deadlocks between partners.

Can a company be registered in Georgia without being physically present?

Yes. A foreign or overseas founder can register a company remotely. This requires a power of attorney certified by apostille or consular legalization, on the basis of which our lawyers handle the full procedure on the client's behalf.

Is it possible to expel a shareholder from a company?

In specific cases, yes. This depends on the charter, the SHA, and the factual circumstances of the dispute — for example, where a shareholder has intentionally caused harm to the company. Such proceedings always require a precise legal strategy in court.

How long does company registration take?

Standard registration with the Public Registry is completed within 1 business day. The preliminary preparation (charter drafting and translation of documents) typically requires an additional 1 to 2 days.
